Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and Hypefy Platform Private Limited (CIN U62011UP2026PTC250914), a company incorporated in India with its registered office at House No. 420, Sambhal Road, Taharpur, Moradabad, Uttar Pradesh 244001, India ("Hypefy," "we," "us," or "our"), governing your access to and use of the Hypefy mobile and web applications and related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy and Community Guidelines, which are incorporated by reference. If you do not agree, do not use the Service.

1. Eligibility and age

• You must be at least 13 years old, and at least the minimum age of digital consent in your country, to use the Service.
• If you are under 18 (or the age of majority where you live), you may use the Service only with the involvement and consent of a parent or legal guardian, who agrees to these Terms on your behalf. Consistent with India's Digital Personal Data Protection Act, 2023, we handle the data of children with additional care.
• You must not be barred from receiving the Service under any applicable law, and your account must not have been previously terminated for a violation of these Terms.

2. Your account

• Provide accurate information and keep it current.
• Keep your login credentials confidential; you are responsible for all activity under your account.
• Tell us promptly at support@hypefy.chat if you suspect unauthorized use of your account.
• Do not create an account for anyone else or transfer your account without our consent.

3. Your content and licence to us

• You retain ownership of the content you create and share, including posts, Shots, Shows, status notes, comments, and messages ("Your Content").
• You grant Hypefy a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, adapt (for formatting and display), publish, and distribute Your Content solely to operate, provide, and improve the Service. This licence ends when Your Content is deleted, except for copies retained in routine backups for a limited period, or where retention is required by law or to resolve disputes.
• You represent that you have the rights necessary to share Your Content and that it does not infringe the rights of others.
• You can delete Your Content at any time; deletion removes it from the Service, subject to the backup and legal-retention exceptions above.

4. Acceptable use

You agree to follow our Community Guidelines. In particular, you must not:

• post illegal content, or harass, bully, threaten, or incite violence against others;
• post hate speech or content that promotes discrimination;
• post sexual content involving minors — this is strictly prohibited, will be removed, and will be reported to the relevant authorities;
• spam, run scams, impersonate others, or manipulate the platform (for example, fake hypes or bot follows);
• post another person's private or personal information without consent;
• infringe intellectual property or other rights;
• probe, breach, overload, or interfere with the Service's infrastructure or security;
• use automated means to access or scrape the Service except as we expressly permit.

5. Content moderation and intermediary status

Hypefy is an intermediary that hosts user-generated content. We may remove content or limit, suspend, or terminate accounts that violate these Terms, our Guidelines, or applicable law, and we act in accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. You can report content in-app; reports are reviewed and acted on. We are not responsible for content created by users, but we will respond to valid legal notices and grievances as described in Section 13.

6. Copyright, DMCA, and music

• Music previews in Hypefy are 30-second clips and artwork provided by Apple through the public iTunes Search API for promotional purposes. Hypefy does not host, store, or distribute the underlying recordings; playback and artwork are served by Apple, and each song links out to Apple Music. All rights in the music belong to their respective owners.
• Respect copyright in the content you post. Do not upload media you do not have the right to share.
• If you believe content on Hypefy infringes your copyright, send a notice to legal@hypefy.chat identifying the work concerned, the infringing URL, your contact details, and a good-faith statement that the use is not authorized. We remove infringing content promptly and may terminate repeat infringers.

7. Paid features

Some features cost money. Prices are shown in Indian rupees before you pay and include any taxes we are required to charge.

• Hypefy Premium (₹125 per month) and Verified (₹99 per month) are subscriptions. They renew automatically every month until you cancel.
• Free trial. Premium may start with a 7-day free trial, once per person. When you start it, you authorise a recurring payment (a card or UPI Autopay mandate); a small verification charge may be made and refunded. If you do not cancel before the trial ends, the first monthly charge is taken on that date.
• Cancelling. Cancel any time in Settings → Subscription. You keep the features until the end of the period you have paid for (or the end of your free trial), and are not charged again. We do not refund part-used periods, except where the law requires it or a charge was made in error, which we will refund.
• The Verified badgeshows that an account holds a paid Verified or Premium plan. It is not a confirmation of anyone's identity. We may remove the badge from an account that impersonates another person or breaks the Community Guidelines.
• Shop items (such as avatar decorations and chat themes) are a one-time purchase of a personal, non-transferable licence to use them in the Service. They have no cash value and cannot be exchanged or resold. Premium features are available only while your plan is active.
• Payments on the website are processed by Razorpay; we never receive or store your full card or UPI details. Purchases made in the Google Play or Apple App Store apps are processed by those stores under their terms, including their refund policies.
• Price changes. We will tell you at least 30 days before a subscription price changes. The new price applies from your next renewal after that, and you can cancel before it does.

8. Third-party services

The Service relies on third-party providers (for example, hosting, database and authentication, payments, GIF search, and music search) and may link to third-party sites. We are not responsible for third-party services or content, and your use of them may be subject to their own terms. See our Privacy Policy for the processors we use.

9. Termination

You can delete your account at any time from Settings → Account. We may suspend or terminate your access if you violate these Terms or applicable law, or to protect the Service or its users. Sections that by their nature should survive termination (including content licence for backups, disclaimers, limitation of liability, indemnity, and governing law) will survive.

10. Disclaimers

To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

11. Limitation of liability

To the maximum extent permitted by law, Hypefy and its directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or INR 1,000. Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Indemnity

You agree to indemnify and hold harmless Hypefy from claims, damages, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, or your violation of these Terms or the rights of others.

13. Grievance redressal

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and the Digital Personal Data Protection Act, 2023, our Grievance Officer is:

Users may contact the Grievance Officer regarding complaints about Hypefy's services, user content, account issues, privacy, or any other grievance.

We acknowledge grievances within 24 hours and aim to resolve them within 15 days of receipt. Complaints about content that is non-consensual, sexual, or impersonating are addressed on an expedited basis.

14. Governing law and dispute resolution

These Terms are governed by the laws of India, without regard to conflict of law principles. Subject to applicable law, the courts at Moradabad, Uttar Pradesh, India will have exclusive jurisdiction over disputes arising from these Terms or the Service. Where permitted, we may first seek to resolve disputes through good-faith negotiation.

15. Changes to these Terms

We may update these Terms from time to time. We will announce material changes in-app or by other reasonable means and update the date above. Continued use of the Service after changes take effect means you accept the updated Terms.

16. Miscellaneous

• If any provision is found unenforceable, the remaining provisions stay in effect.
• Our failure to enforce a provision is not a waiver of it.
• You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• These Terms, together with the Privacy Policy and Community Guidelines, are the entire agreement between you and Hypefy regarding the Service.
